ECM Libra Forms Strategic Hotel Joint Venture and Expands Hospitality Management Business

PETALING JAYA (July 7, 2026): ECM Libra Group Bhd (ECMLG) has strengthened its hospitality business by forming a strategic joint venture with TP Real Estate Holdings Pte Ltd (TPRE), while securing new hotel management agreements for Ormond Hotel Sandakan and The RuMa Hotel and Residences in Kuala Lumpur.


According to a Bursa Malaysia filing, the transactions are aimed at expanding the group's hotel brand portfolio and creating recurring management fee income.


Joint venture with Plato Capital subsidiary


TPRE, a wholly-owned subsidiary of Plato Capital Ltd, will subscribe for 12.5 million new ordinary shares in Ormond Group Sdn Bhd (OGSB) for a cash consideration of RM100,000.


Upon completion, OGSB will no longer be a wholly-owned subsidiary of ECM Libra. Instead, it will become a 50:50 joint venture between ECM Libra and TPRE.


The partnership allows OGSB to strengthen its position in the hospitality sector by combining operational expertise and hotel brand management capabilities.


Access to Ormond and Momo's hotel brands


As part of the joint venture, Plato's subsidiary will grant OGSB sublicence rights to use the Ormond and Momo's hotel brands for properties managed by the company, provided TPRE remains a shareholder in the joint venture.


At the same time, OGSB, which owns the rights to the Tune brand, will grant sublicence rights for the continued use of the Tune trademark in connection with its hotel operations.


The arrangement broadens OGSB's portfolio from a single hotel brand to multiple hospitality brands targeting different market segments.


New hotel management agreements secured


Separately, OGSB has signed hotel management agreements with:


ICSD Ventures Sdn Bhd for the management of Ormond Hotel Sandakan.


The RuMa Hotel KL Sdn Bhd for the management of The RuMa Hotel and Residences in Kuala Lumpur.


Both agreements carry an initial term of two years, with an option to renew for an additional two years.


The management contracts are expected to generate approximately RM7.85 million in management fees during the initial two-year period, providing ECM Libra with a recurring source of income.


Related-party transaction


The transactions are classified as related-party transactions under Bursa Malaysia's Main Market Listing Requirements due to the interests of certain directors and major shareholders.


Executive chairman Datuk Lim Kian Onn and director and CEO Gareth Lim Tze Xiang abstained from all board deliberations and voting relating to the transactions.


Based on Bursa's percentage ratio requirements, the combined transactions require public disclosure but do not require shareholder approval.
